Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Dene Designs platform, website, and services (collectively, the "Service"). By creating an account or using our Service, you agree to these Terms.

If you are using the Service on behalf of an organization (such as a robotics team or school), you represent that you have the authority to bind that organization to these Terms.

To use our Service, you must:

• Be at least 18 years old, or have parental/guardian consent and supervision
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Represent a legitimate robotics team or educational organization
• Not be prohibited from using the Service under applicable law

When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities under your account

Platform Fee

Dene Designs charges a 10% platform fee on your product markup (the difference between Printful's base cost and your retail price). This fee covers platform maintenance, payment processing, and support services.

Payment Processing

• All payments are processed through Stripe. You must comply with Stripe's Terms of Service
• You authorize us to charge the platform fee from each transaction
• Refunds are subject to our Refund Policy and may take 5-10 business days
• You are responsible for any taxes related to your fundraising activities

Payouts

Your team's profits are automatically transferred to your connected bank account via Stripe Connect according to your payout schedule. Typical payout timing is 2-7 business days after an order is placed.

Products are fulfilled by Printful, our third-party print-on-demand partner. By using our Service, you agree to:

• Printful's production times and shipping estimates
• Quality standards for printed merchandise
• Our limited liability for production or shipping delays beyond our control
• Printful's return and exchange policy for defective items

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Upload content that infringes on intellectual property rights
• Create campaigns that are fraudulent, misleading, or deceptive
• Upload logos or designs containing hate speech, violence, or adult content
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or servers
• Use automated systems (bots) without written permission
• Resell or redistribute the Service without authorization

Your Content

You retain all rights to logos, designs, and content you upload. By uploading content, you grant us a license to:

• Display your content on products and campaign pages
• Share with Printful for product fulfillment
• Use for platform improvements and marketing (with your permission)

Our Platform

All rights to the Dene Designs platform, including code, design, trademarks, and documentation, are owned by Dene Designs. You may not copy, modify, or reverse engineer any part of our platform.

Copyright Claims

If you believe content on our platform infringes your copyright, contact us at legal@denedesigns.com with:

• Description of the copyrighted work
• Location of the infringing content
• Your contact information and signature

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to the fees you paid in the past 12 months
• We are not responsible for Printful's production quality or shipping delays
• We are not liable for Stripe payment processing issues
• You use the Service at your own risk

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

You agree to indemnify and hold harmless Dene Designs from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload to the platform
• Your fundraising activities

By You

You may terminate your account at any time through account settings. Upon termination:

• Active campaigns will be deactivated
• Pending payouts will be processed
• Your data will be deleted per our Privacy Policy

By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent activity
• Have excessive chargebacks or disputes
• Are inactive for 24 months

We may update these Terms at any time. We'll notify you of material changes via email or platform notification. Continued use after changes constitutes acceptance of the new Terms.

Informal Resolution

If you have a dispute, please contact us first at support@denedesigns.com. We'll work in good faith to resolve the issue.

Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration, not in court. You waive your right to a jury trial and class action lawsuits.

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions.

• Entire Agreement: These Terms constitute the entire agreement between you and Dene Designs
• Severability: If any provision is found invalid, the remaining provisions remain in effect
• Waiver: Failure to enforce any provision does not constitute a waiver
• Assignment: You may not assign your rights under these Terms
• Force Majeure: We are not liable for delays due to circumstances beyond our control
